HTML filings

Examples of SEC EDGAR filing restrictions and validation requirements automatically addressed in HTML filings are:

  • Disallowed tags -- There are several commonly-used HTML tags which the SEC does not allow. EDGARsuite uses alternative formatting methods wherever appropriate to achieve the desired effect.

  • No active content -- EDGARsuite ensures that active content is stripped from the converted files.

  • Limited Links -- As required by the SEC, EDGARsuite  deactivates hyperlinks in EDGARized files, except those that are either local or link to documents in the EDGAR archives.

  • Local Images -- EDGARsuite automatically adjusts all image sources to local, and extracts or converts graphics files to .JPG or .GIF format as mandated by the SEC. It also places all required images in the same folder as your converted files for ease in assembling the submission.

  • File name restrictions -- EDGARsuite automatically adjusts file names of main documents as well as all referenced and attached files, to conform to SEC requirements.

  • Symbols and special characters -- EDGARsuite makes sure that extended characters such as currency symbols, typographic elements and math symbols are correctly represented in a format approved by the SEC.

  • Special use of <R> and </R> tags -- EDGARsuite has the option of introducing <R> and </R> tags according to SEC specifications to identify revised text (inserted and/or deleted).

  • Footnotes and Endnotes -- The SEC no longer permits the <FN> tag to mark footnotes in submissions. EDGARsuite does not generate this tag. Instead it appends footnotes and endnotes to the end of a document or document section (your choice), and relates them to the body text using two-way local hyperlinks. This results in a valid submission while preserving the logic and functionality of the footnotes.

ASCII filings

Examples of SEC EDGAR filing restrictions and validation requirements automatically addressed in ASCII filings are:

  • Line Length Limitation -- EDGARsuite reformats the filing to conform to the 80-character line length limit imposed by the SEC, or 132 characters within tables.

  • Special Tags -- EDGARsuite automatically inserts all document tags required or relevant in an ASCII filing, such as <TABLE>, <S>, <C>, <PAGE>, etc.

  • File name restrictions -- EDGARsuite  automatically adjusts file names of main documents as well as all referenced and attached files, to conform to SEC requirements.

  • Symbols and special characters -- EDGARsuite ensures that special characters such as currency symbols, typographic elements and math symbols are spelled out and do not appear as non-ASCII characters which would invalidate the filing.

  • Special use of <R> and </R> tags -- EDGARsuite™ has the option of introducing <R> and </R> tags according to SEC specifications to identify revised text (inserted and/or deleted).

  • Footnotes and Endnotes -- EDGARsuite inserts <FN> tags as approved by the SEC to mark footnotes in ASCII filings.

XBRL filings

EDGARsuite includes extensive checks to ensure that XBRL filings are properly validated against the appropriate W3C, XBRL and extension schemas, including calculation and relationship validation. This extends to the main XBRL filing as well as supporting files such as extension schema definitions, linkbases, presentation style sheets, and other files.

Form SH/XML filings

EDGARsuite includes extensive checks to ensure that Form SH/XML filings are valid as per XML and the additional SEC guidelines.
